We reserve the right to refuse service for any matter that appears unlawful, unethical, fraudulent, or otherwise inappropriate.
7. Confidentiality

By accessing such information, the Customer certifies, under penalty of perjury, that GLBA Data will be used solely for the permissible purpose(s) identified in the applicable Permissible Use Certification or online certification process. Customers may be required to certify or recertify their permissible use of GLBA Data when requesting information or upon request by A.C.E., Inc. Customers further acknowledge and agree to maintain safeguards for such information in accordance with the Interagency Standards for Safeguarding Customer Information issued pursuant to the GLBA.
DPPA Data: Certain information available through A.C.E., Inc. services may constitute “personal information” as defined by the Driver’s Privacy Protection Act (“DPPA”), 18 U.S.C. § 2721 et seq., and applicable state laws (“DPPA Data”). Customers shall not access, obtain, or use DPPA Data in any manner that violates the DPPA or related laws. By accessing such information, the Customer certifies, under penalty of perjury, that DPPA Data will be used solely for the permissible purpose(s) identified in the applicable Permissible Use Certification. Customers may be required to certify or recertify their permissible use of DPPA Data when requesting information or upon request by A.C.E., Inc.
DPPA Data may not be used for the purpose of issuing or facilitating traffic violation notices, toll violation notices, parking violation notices, or any similar consumer notification. The use of DPPA Data to send traffic, toll, parking, or related notices to consumers is strictly prohibited.

Indemnification and Protection of Agency for Civil Enforcement Corporation
User/Client/Customer agrees to indemnify, defend, and hold harmless Agency for Civil Enforcement Corporation ("the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc."), together with its officers, directors, employees, agents, representatives, affiliates, successors, and assigns, from and against any and all claims, actions, liabilities, losses, damages, costs, expenses, and reasonable attorneys' fees asserted by any third party and arising out of or relating to: (i) User/Client/Customer's use of information, reports, products, or services provided by the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc.; (ii) User/Client/Customer's violation of any applicable federal, state, or local law, regulation, ordinance, rule, or judicial or administrative order; and (iii) User/Client/Customer's breach of any provision of this Agreement.
Agency for Civil Enforcement Corporation may, at its sole election and expense, participate in or be represented by legal counsel of its choosing in connection with any claim, action, or proceeding. User/Client/Customer shall not settle any claim or consent to the entry of any judgment affecting the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. without first obtaining the prior written consent of the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc., which consent shall not be unreasonably withheld, conditioned, or delayed.
If User/Client/Customer is a governmental entity, these indemnification obligations shall apply only to the extent permitted by applicable law and shall not require indemnification where doing so would: (i) violate any law or regulation applicable to such governmental entity; (ii) improperly infringe upon powers delegated to a legislative body; or (iii) obligate expenditures in advance of or in excess of lawfully appropriated funds.
Limitation of Liability
In no event shall Agency for Civil Enforcement Corporation, d.b.a, A.C.E., Inc. including its affiliates, officers, directors, employees, agents, representatives, or contractors, be liable to User/Client/Customer or any third party for any claims, losses, liabilities, damages, or expenses arising out of or relating to: (i) User/Client/Customer's use of information, reports, products, or services provided by the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc.; or (ii) the gathering, compiling, collecting, analyzing, interpreting, reporting, communicating, or delivering of information or services by the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc.
The total aggregate liability of Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. under this Agreement shall be limited exclusively to direct damages and shall not exceed the total amount of fees paid by User/Client/Customer for the specific services giving rise to the claim.
Under no circumstances shall the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. be liable for any consequential, incidental, indirect, exemplary, special, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, interruption of business operations, or similar damages, regardless of whether such damages are based upon contract, negligence, tort, strict liability, warranty, indemnity, or any other legal theory, and regardless of whether the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. has been advised of the possibility of such damages.
These limitations and exclusions of liability shall apply notwithstanding the failure of any limited remedy to achieve its essential purpose and shall survive the termination or expiration of this Agreement.
Any claim or cause of action arising out of or relating to this Agreement must be commenced within (6) six months after the claim or cause of action accrues. Any action brought after such period shall be forever barred.
Representations and Warranties of User/Client/Customer
User/Client/Customer represents and warrants that it possesses the full authority, power, and legal capacity to enter into and perform under this Agreement. User/Client/Customer further represents and warrants that it has the right to grant and convey to the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. all rights necessary to perform the obligations contemplated herein.
User/Client/Customer further represents and warrants that it has the legal right to provide any and all information, materials, records, or data supplied to the Agency for Civil Enforcement Corporation, d.b.a, A.C.E., Inc. including information obtained from third parties, and authorizes the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. and its approved subcontractors, vendors, or service providers to use such information as reasonably necessary in connection with the performance of services under this Agreement.
User/Client/Customer agrees that it shall not build, compile, accumulate, store, enhance, modify, develop, publish, distribute, maintain, or otherwise create any database, list, directory, repository, or similar product or service incorporating or derived from information, materials, or services provided by the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc
User/Client/Customer further agrees to destroy, delete, or otherwise permanently dispose of any information or materials received from the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. when such information is no longer necessary for the purposes for which it was originally provided.
User/Client/Customer additionally represents and warrants that it maintains and implements an information security program that substantially conforms to the standards established and maintained by the National Institute of Standards and Technology ("NIST"), or such other generally accepted industry standards designed to safeguard confidential and sensitive information from unauthorized access, disclosure, misuse, or loss.
Disclaimer of Warranties
All information, products, reports, and services provided by the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. are furnished on an "as is" and "as available" basis. The Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. expressly disclaims any and all warranties and representations, whether express, implied, statutory, or arising by operation of law, course of dealing, course of performance, or trade usage.
Without limiting the foregoing, the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. specifically disclaims any warranty regarding accuracy, completeness, reliability, timeliness, currentness, availability, merchantability, fitness for a particular purpose, title, or non-infringement. No oral or written information or advice provided by the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. shall create any warranty not expressly set forth herein.
The Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. makes no representation or guarantee that any information, reports, or services supplied will be uninterrupted, error-free, or suitable for User/Client/Customer's intended purpose. User/Client/Customer assumes full responsibility for evaluating and determining the appropriateness of any information or services provided and for any decisions made or actions taken in reliance thereon.
To the fullest extent permitted by applicable law, the Agency for Civil Enforcement Corporation d.b.a, A.C.E., Inc. disclaims all liability arising from User/Client/Customer's use of, reliance upon, or inability to use any information, reports, products, or services furnished pursuant to this Agreement.
